We provide legal counsel to property owners in REIT operations, mergers, acquisitions, liquidations, and transfers of properties to REITs and UPREITs in exchange for securities. The depth and scope of our practice allows us to handle the full panoply of real estate, tax, and securities issues attendant to these transactions. Our attorneys are experienced in structuring, documenting, and negotiating debt financings of real estate projects on behalf of borrowers as well as financial institutions. We counsel investors, developers, thrifts, banks, and insurance companies on financing transactions ranging from closing individual loans to negotiating entire loan portfolios. We also represent clients in more complex debt financings such as government lease-backed bond issuances, sale/lease-backs, and loans secured by bankruptcy-remote partnership or limited liability company vehicles.
