Description:

Arnold & Porter represented a UK investment fund in the acquisition and subsequent sale of a number of subsidiaries, including the US subsidiaries of a large UK multinational conglomerate. The US side of the deal involved various subcontracting and technology licensing arrangements that were subject to State Department export control jurisdiction for approval of Manufacturing License Agreements and Technology Assistance Agreements, an Exon-Florio filing, and various national security arrangements. The deal required coordination among various Defense Department agencies to obtain required novation approvals. The firm was able to negotiate unique transition arrangements and close the deal within less than the customary lead times for the various required government consents and approvals and thereby avoid a shutdown of the acquired facilities.
