Representative Matters

  • Nasdaq Stock Market in its acquisition of Instinet Group in resolving Department of Justice (DOJ) investigation of the merger. Drafted white paper to the DOJ regarding dispositive competitive issue and coordinated client response to DOJ interrogatories and document request. The transaction was permitted to close without divestitures after a second request.
  • SBC in its US$16 billion acquisition of AT&T. Assisted SBC in foreign competition authorities' review of the transaction and response to DOJ and FCC interrogatories and document request. The transaction was permitted to close after a second request and FCC investigation.
  • American Capital Strategies, Ltd. in obtaining FTC approval of the sale of one of its portfolio companies. FTC investigation was resolved without the need for a Second Request.
  • Agrium Inc. in securing early termination of the Hart-Scott-Rodino Act waiting period from the FTC with respect to Agrium's unsolicited bid to acquire Royster-Clark Ltd.
  • American Capital Strategies, Ltd. and other clients as to their obligations under the Hart-Scott-Rodino Act and other merger-related issues.
  • Counseled clients on the consumer protection issues presented in advertising.
