Lawrence Rabkin is a retired partner of the firm. Mr. Rabkin concentrated on general corporate and business counseling, corporate finance, mergers and acquisitions, and financial services regulation. Prior to joining the firm, Mr. Rabkin served as Chairman and Managing Director of Howard Rice Nemerovski Canady Falk & Rabkin from 2005 to 2009, and thereafter as Chairman Emeritus.
Mr. Rabkin has advised public and private companies on a broad variety of corporate and business law matters, including public and private offerings, mergers and acquisitions, corporate governance, SEC reporting, and other compliance issues, as well as regulatory enforcement matters. He has also represented numerous investment banking firms in a wide variety of transactions.
Mr. Rabkin has been primary outside corporate and securities counsel to The Charles Schwab Corporation for more than 30 years. During that time, he served as lead counsel in the company's merger with Bank of America, the subsequent management buy-out from Bank of America, its initial public offering, and for other significant transactions, including the acquisition of US Trust Company. Representative clients have included Teichert, Inc.; Major League Baseball; PalmSource, Inc.; Thomas Weisel Partners LLC; Montgomery Securities; Merrill Lynch; Pacific Union Properties, Inc.; the San Francisco Giants; and a Special Committee of the Board of Directors of Visa, Inc.
