Bill Wallace focused his practice on mergers, acquisitions and dispositions of public and private companies, partnership, joint venture and teaming arrangements, corporate restructurings, out-of-court workouts, public and private equity and debt financings, and licensing arrangements.
Mr. Wallace had substantial experience in negotiating complex business transactions in a wide variety of industries, including radio and television broadcasting, publishing, multimedia, entertainment, financial services, textiles, and aerospace and defense.
Mr. Wallace also represented clients in a variety of transactions in the pharmaceutical and biotech industries, including acquisitions, dispositions, cross-licensing agreements and settlement agreements arising from patent infringement litigation. He represented many of the major pharmaceutical companies, as well as a number of smaller development-stage companies.
Mr. Wallace was an experienced corporate counselor, advising companies, boards of directors and board committees on a broad range of issues, including regulatory compliance, corporate governance, compensation issues and conflicts. Mr. Wallace also represented foreign-based corporations in making investments in the United States, and counseling such clients on corporate and securities law compliance.
