Kathleen Wechter has extensive experience in employee benefits and executive compensation. Ms. Wechter works with clients on compensation and benefits issues in mergers, acquisitions, and restructurings. In the related area of executive compensation, she advises clients on the design and implementation of compensatory arrangements, including employment agreements, equity arrangements, incentive agreements, and severance agreements. Her work on these matters includes related securities law issues, including reporting obligations and proxy disclosure of compensation arrangements.

Ms. Wechter provides advice to employers on the tax regulatory and ERISA plan investment issues in maintaining tax-qualified plans, including fiduciary issues and prohibited transactions.

Ms. Wechter regularly represents clients in structuring investment funds and corporate finance transactions with respect to ERISA issues and investments by plans. She advises issuers, underwriters, and investors on benefits issues related to complex corporate transactions.
