Capital Markets Transactions
Our lawyers serve as counsel in capital-raising and financing transactions for, among others, financial institutions (traditional and nontraditional), sovereign governments, Latin American corporations, biotechnology firms, real estate investment trusts, emerging companies, and other businesses in a wide array of industries. We also have developed a particular skill with respect to cross-border offerings that involve Canadian issuers.
Our team represents issuers, underwriters, and security holders in the full range of public offerings and private placements of investment-grade and high-yield debt and equity. Our work includes initial public offerings, shelf offerings, Rule 144A offerings, traditional private placements and PIPE transactions, global offerings including Regulation S offerings, Eurobond and other foreign offerings, commercial paper programs, and medium-term note programs. Our capital markets activity also includes tender offers, private securities redemptions, A/B exchange offers, M&A-related offerings, share repurchase programs, stock splits, and dividend strategies.
Consistent with the firm's multidisciplinary approach to the practice of law, our corporate securities partners regularly work with our partners in other practices, including our mergers & acquisitions partners on acquisition-driven leveraged financing and liability management transactions; our securitization and real estate partners to develop new products and structure innovative securities offerings; and our bankruptcy and corporate restructuring partners on in- and out-of-court restructuring transactions.
Our capital markets transactional capacity includes the ability to offer ongoing regulatory, corporate, securities, and tax law experience in both structuring new securities products, and advising on securities law and stock exchange compliance and marketing issues. For many of our clients that are subject to public reporting requirements, we review their periodic reports and otherwise actively assist them in complying with their ongoing obligations.
Advised investing company in its purchase of software company OneView Commerce, Inc. for approximately £15.3m and on its admission to trading on AIM.
Represented the issuer in its offering of US$400 million Fixed-to-Floating Rate Non-Cumulative Perpetual Preferred Stock.
Represented client in its issuance of US$1 billion senior notes.
Represented client in a US$600 million depositary shares offering.
Represented client in its initial public offering of 5.75 million shares of common stock.
