Mergers & Acquisitions

Arnold & Porter's Mergers & Acquisitions practice is at the core of the firm's Corporate and Finance practice. We represent buyers and sellers in the negotiation of mergers; stock, asset, and whole-business acquisitions; leveraged buyouts; tender offers; and other transactions involving changes in corporate control.

Our clients include major international and domestic companies, both public and private, as well as private equity firms and other financial institutions. Our clients span many industries, including life sciences, technology, media, energy, aerospace and defense, consumer products, manufacturing, asset management, and services, among others.

The breadth of our regulatory practices complements our core M&A experience to provide a strategic advantage to our clients. Our corporate M&A attorneys are familiar with a myriad of regulatory issues that can arise in M&A transactions and work efficiently to address those issues with our regulatory colleagues while remaining attentive to our clients' business objectives, and we have completed numerous transactions in many regulated industries.

Our transactional teams assist clients in all phases of their acquisitions, from structuring and negotiating the transaction, through the various regulatory approval processes and post-closing integration activities. Our multidisciplinary practice utilizes the talents of experienced lawyers in many practice areas, including intellectual property, employee benefits and executive compensation, employment, tax, government contracts and national security, financial services, environmental, real estate, antitrust and competition, life sciences and healthcare regulatory, and litigation.

We are recognized by a number of leading publications for our work in this area including by Chambers USA 2019 for Corporate/M&A: Highly Regarded (Nationwide and New York) and Corporate/M&A and Private Equity (Washington, DC), The Legal 500 US 2019 for M&A: Middle-Market and Private Equity Buyouts and by US News and World Report/Best Lawyers "Best Law Firms" 2019 for Corporate Law, Private Equity Law, and Mergers and Acquisitions Law.
