Private Equity

Arnold & Porter's Private Equity lawyers represent private equity funds, private equity divisions of financial institutions, family offices, portfolio companies, venture capital investors and start-up, emerging growth, and expanding companies, both in the US and internationally.

Transactions involve strategic equity/control investments and minority investments, all stages of the investment cycle and greatly varied transaction structures. We represent clients in early-stage venture capital investments, acquisitions of public as well as private companies, asset acquisitions, growth capital transactions, management buyouts, "carve outs," recapitalizations, going-private transactions, "turnaround" or "vulture" investments, and purchases and sales of companies and divisions in Chapter 11 bankruptcy proceedings.

We advise our clients on all phases of their transactions, including: formulating auction bids; negotiating, documenting, and closing acquisitions and dispositions; assisting with associated debt, equity and co-investment financings; and handling subsequent refinancings, restructurings, recapitalizations, add-on acquisitions, exit sales, and other liquidity events (including initial public offerings).

Our clients and their portfolio companies span many industries including aerospace, government contracting, technology, telecommunications, financial institutions, health care, medical products, industrial, energy, distribution, entertainment, and consumer goods and services. In addition, we have developed special experience in providing due diligence and corporate transactional services to private equity funds investing in regulated industries.

Our Private Equity practice utilizes the skills of not only our experienced corporate lawyers, but also of our knowledgeable lawyers in other practice areas, including patent and intellectual property, real estate, tax, product liability, executive compensation, employee benefits, antitrust and bankruptcy. Through our Investment Management practice, we also have an active fund formation practice and regularly counsel funds on regulatory compliance, tax, and fund management issues.
