We have experience representing public and private energy companies and other investors and stake holders in the financing and acquisition and divestiture of electric generation facilities, oil and gas assets, oilfield services, midstream infrastructure and related businesses; and issuers and underwriters in public and private debt and equity offerings. Our attorneys have also represented and assisted private equity funds in their energy investments, including the formation of portfolio companies, the structuring of distribution waterfalls, the negotiation of joint venture arrangements with subsequent private equity investors, acquisitions, divestitures and financings.
In the electric power arena, our attorneys also work with private developers, commercial lenders, ministries of finance and central banks of sovereign governments, export credit agencies, multilateral development banks, and contractors in corporate and project finance transactions, including those involving renewable energy assets, in the United States, Latin America and around the world. For many power project transactions fueled by natural gas or coal, we handle gas supply and pipeline issues or coal supply and transportation issues, respectively. We also advise clients on an ongoing basis in connection with construction, energy performance contract (EPC), operating and maintenance, equipment and procurement and long-term service agreements in the project development phase.
