Acquisition of Macromedia
Our attorneys represented Adobe Systems Inc., the creator of the widely used PDF portable document format, in its $3.4-billion acquisition of Macromedia, the creator of the Flash web animation standard.
The transaction combined Adobe's leading tools for Web designers (including Photoshop, Illustrator, and GoLive) with Macromedia's leading tools for Web developers (including Dreamweaver and Flash). The acquisition was permitted to proceed without any divestitures, notwithstanding Adobe and Macromedia's leading positions in Web authoring tools and Adobe's reacquisition of the FreeHand computer illustration tool after being forced to divest it in another acquisition several years ago.
Adobe closed the transaction on December 3, 2005 after completing antitrust reviews in the United States and Europe. The Department of Justice cleared the transaction, without divestitures, after issuing a second request.
