Our attorneys represented the client in its acquisition by Welsh, Carson, Anderson & Stowe, a private equity group, and the transfer of all its assets and liabilities to its wholly owned subsidiary. The transfer involved the assignment of several substantial government contracts, and we advised on the necessity of a novation agreement as well as on the transferability of the federal contracts under the Anti-Assignment Act.
