Merger with CGI and simultaneous sale of its defense assets to CACI

CGI Group, one of the largest independent IT and business process services firms in North America, purchased all outstanding shares of Fairfax, Virginia-based American Management System, Inc. (AMS) for $19.40 per share or $858 million. CGI's tender offer was entered into concurrently with the acquisition of AMS's Defense and Intelligence Group (DIG) for $415 million in cash by CACI International Inc.

AMS is a premier business and IT consulting firm to the government, financial services, and communications industries around the globe.  DIG provides the US government with information technology and software design solutions for defense, intelligence, and homeland security agencies. CACI provides IT and network solutions for the defense, intelligence, and e-government industries.

To close the deal, a team of more than 20 attorneys advised AMS on both the tender offer and the sale of DIG. Involved practice areas included corporate, corporate governance and SEC, national security, government contracts, tax, employee benefits, and antitrust.
