Joint venture with D.E. Master Blenders 1753
Our attorneys represented Mondelēz International - the US-based multinational confectionery, food, and beverage conglomerate - on the regulatory clearances and key substantive competition arguments supporting its joint venture with D.E. Master Blenders 1753. The joint venture combined the companies’ coffee businesses to create the world's leading pure-play coffee company - Jacobs Douwe Egberts - with annual revenues of more than US$7 billion (€5 billion).
The transaction was notifiable in the EU and in 14 countries outside the EU and involved some very complex filings. It was one of the very few Phase II merger investigations by the EU at the time, given its complexity. It was cleared in Phase II with remedies. The case was regarded by the Commission as being highly novel, and case team members wrote an article on it providing the background to the decision.
