Acquisition of the Boston Stock Exchange, Inc.
Our attorneys represented The NASDAQ OMX Group, Inc. in its acquisition of the Boston Stock Exchange, Inc. (BSE). The acquisition included BSE's holding company, BSE Group, the Boston Equities Exchange, the Boston Stock Exchange Clearing Corporation, BOX Regulation, and a self-regulatory license for trading both equities and options. NASDAQ OMX did not acquire an interest in the Boston Options Exchange (BOX). Instead, BSE's ownership interest in Boston Options Exchange Group, LLC, the operator of BOX, was sold to Montreal Exchange, Inc.; however, BSE, through Boston Options Regulation, LLC, will operate as the regulatory services provider to BOX. Our attorneys handled all aspects of the transaction, which closed in August 2008, including, corporate and securities, antitrust, tax, employee benefits, tax, and intellectual property.
