ABA Mergers & Acquisitions and Corporate Governance Committees Presentation on Proposed Acquisition of BCE

Joel I. Greenberg, Co-Chair of the Corporate & Finance Department, and Chair of the Mergers & Acquisitions committee of the American Bar Association Section of Business Law, moderated a telephone conference on February 12, 2009, discussing the proposed acquisition of BCE, the parent of Bell Canada, by a consortium of private equity buyers. Had it been completed, this acquisition would have been the largest change of control transaction in Canadian history and the largest ever leveraged buyout transaction in the world. The conference explored a variety of issues, including the ultimately unsuccessful attempts to block the transaction by a group of institutional debentureholders of Bell Canada, BCE's wholly-owned subsidiary.
