Palo Alto Corporate Partner Diane Holt Frankle will participate in the American Bar Association’s webinar “Acquisition of Public Companies: Insights from the 2012 Strategic Buyer-Public Target Deal Points Study” on March 12, 2013. The webinar topics will include closing conditions, including the “MAC out”; deal protections, including no-shops; fiduciary outs and break-up fee triggers; remedies, including specific performance, reverse termination fees and related provisions; and provisions unique to two-step tender offer deals.
