Diane Holt Frankle to Speak on “Protecting Value in M&A Transactions” during Inter-Pacific Bar’s “Sustainability in a Finite World” Conference

Diane Frankle and her fellow panelists during the “Protecting Value in M&A Transactions” session during the Inter-Pacific Bar’s “Sustainability in a Finite World” Conference will discuss the challenges of dealing with and protecting against variations in target valuation after completing M&A and private equity transactions. The panel will examine critical negotiating points and explore the rationale behind various options available to the parties to correct or adjust an assessed or anticipated valuation of a target. Panelists will also consider short term/immediate price adjustments, extrinsic and intrinsic earn out, ratchet and reallocation techniques, tracking clauses and other methods of dealing with subsequent changes.
