Aron Estaver’s practice focuses on advising U.S. and non-U.S. fund sponsors regarding the structuring and ongoing operations of private investment funds pursuing a broad range of investment strategies, including private equity, real estate and infrastructure, venture capital, credit, hedge, as well as secondary funds, funds-of-funds, co-investment vehicles, joint ventures, separately managed accounts, and other bespoke fund structures.
Aron’s sponsor-side work encompasses investor-facing documentation and the upper-tier structuring of sponsor entities. He also regularly represents U.S. and non-U.S. institutional investors, funds-of-funds, sovereign wealth funds, family offices, and high-net-worth investors regarding their private fund investments. Aron’s representation of both sponsors and asset allocators gives him keen insights into the market, fund terms, and investor expectations.
A significant aspect of Aron’s practice involves counseling clients on regulatory, registration, and compliance issues applicable to investment advisers, commodity pool operators, and commodity trading advisors, including matters arising under the rules and regulations promulgated by the SEC, CFTC, FINRA, the National Futures Association, and state securities regulators. He works closely with tax, regulatory, employment, litigation, and other transactional colleagues to address client needs and has experience handling related corporate and transactional matters.
Before rejoining the firm in 2026, Aron spent more than fourteen years at Arnold & Porter as a highly regarded member of our Investment Management team in the firm’s New York and Los Angeles offices.

- Various institutional investors, sovereign wealth funds, funds of funds, family offices, and corporate venture capital programs in the review and negotiation of numerous investments in venture capital, private equity, credit, real asset, and hedge funds, and co-investment vehicles.
- Various U.S. and non-U.S. fund managers with regard to investment adviser registration and compliance, and exemptions from registration.
- Establishing U.S. and non-U.S. hedge funds, private equity funds, commodity pools, and funds of funds (hedge, private equity, real estate, and real assets).
- Investment managers with or for major investment banks and institutional asset managers in negotiating managed account relationships, sub-advisory agreements, and “funds of one.”
- Joint venture arrangements among private U.S. hedge fund management firms.
- Trustees of the AIG Credit Facility Trust on a wide range of corporate governance, transactional, and regulatory matters.
- Large institutional fund of funds manager (over $90 billion AUM) in the formation and establishment of a “platform” to facilitate investments in both a custom investment portfolio and in co-investments made alongside that portfolio and other funds and accounts managed by that manager.*
- Large private fund manager in the formation of a private credit fund, related co-investment vehicles, and a parallel separately managed account.*
