Regulatory Roundtable: Executive Compensation: Building Toward the New Disclosures

On August 11, 2006, the Securities and Exchange Commission adopted sweeping changes to its executive compensation disclosure rules. The new rules require comprehensive disclosure of all elements of executive officer and director compensation and will require many companies to overhaul their proxy preparation processes and revisit some of their compensation practices. This Regulatory Roundtable will highlight key aspects of the new rules, offer some suggestions for building the disclosures, and address the impact of the new rules on compensation practices.

  • Compensation Disclosure & Analysis (CD&A) - the centerpiece of the SEC's new disclosure rules
  • The new executive compensation tables and narrative disclosures - who is covered and what elements of compensation must be disclosed
