Our attorneys have extensive experience in the formation and operation of public and private real estate investment trusts (REITs). We work closely with members of our respective Tax, Compensation and Benefits, Bankruptcy and Restructuring, Corporate, and Environmental practices to address all relevant issues—including securities issues, tax implications and planning, control rights, and a myriad of liability risks—that arise in particular transactions. The firm's REITs experience dates back to the early 1990s when REITs became a significant means of capitalizing real estate operating companies.

We have advised investors regarding many types of real estate throughout the United States and internationally, including office, retail, mall, hotel, resort, multi-family housing, and warehouse development and ownership, involving all types of ownership vehicles (corporations, partnerships, limited liability companies, real estate funds, and REITs).

We regularly represent REITs in public capital markets transactions, mergers and acquisitions, strategic restructurings, and REIT compliance matters. In addition, we represent clients in the formation of public and private REITs, and in negotiating and structuring securitized financing transactions. We provide legal counsel to property owners in REIT operations, mergers, acquisitions, liquidations, and transfers of properties to REITs and UPREITs in exchange for securities. We also design property specific exit strategies involving both public and private REITs.
