Robert R. Avallone is an associate in Arnold & Porter's Structured Finance & Derivatives practice who advises financial institutions, investment funds, fintech companies, institutional investors, and other market participants on sophisticated financing transactions involving traditional, esoteric, and emerging asset classes. His practice spans structured finance, securitization, structured credit, private credit, leveraged finance, derivatives, project finance involving energy and infrastructure transactions, including wind and solar projects, and digital asset transactions, with a particular focus on structures that require innovative approaches to collateral, financing, and risk allocation. His experience in this area includes securitizations and financing arrangements involving consumer and commercial receivables, as well as other specialized asset classes.
Robert advises clients on the structuring and execution of sophisticated financing transactions, including asset-backed securitizations, warehouse and private credit facilities, margin lending arrangements, structured financing platforms, energy and infrastructure project financings, and other transactions involving specialized asset portfolios. He also advises clients on derivatives and hedging arrangements, including the negotiation of ISDA Master Agreements, Schedules, Credit Support Annexes, and related provisions governing collateral, netting, and close-out rights in connection with interest rate, total return, and credit derivatives.
A significant focus of Robert's practice is the application of structured finance and secured lending techniques to digital assets and emerging forms of financial infrastructure. He represents borrowers, lenders, issuers, financial institutions, and digital asset platforms in cryptocurrency-backed financing and securitization transactions, tokenized asset structures, and financings involving digital asset portfolios and cryptocurrency-linked receivables. His experience includes advising on bankruptcy-remote structures, digital asset custody and control frameworks, perfection and enforcement of security interests in cryptocurrency and tokenized assets, collateral eligibility and valuation, liquidation mechanics, and other issues arising from the use of digital assets as collateral.
In addition to his transactional practice, Robert brings a strategic understanding of how emerging technologies are reshaping financial markets. Drawing on his experience in both transactional law and financial institution compliance, he has developed significant insight into blockchain-based finance, digital asset infrastructure, tokenized securities, and decentralized finance (DeFi), as well as the regulatory and structural considerations facing participants in these markets. His background enables him to assess legal risk and market developments at the intersection of structured finance, technology, and emerging financial products.
