Wayne Janke advises pharmaceutical, biotech, and other life sciences companies on a broad range of corporate transactions, including complex M&A, licensing, and collaboration arrangements, with a particular focus on transactions and business models involving digital health solutions and AI-enabled technologies. Bringing both a legal and business perspective, he works with clients across the full lifecycle of their businesses, from formation and growth through transformative strategic transactions.

Wayne advises on stock, merger, and asset transactions, including staged acquisitions and option-based deal structures. He also regularly structures and negotiates strategic alliances, joint ventures, collaborations (including co-promotion and co-commercialization arrangements), and licensing transactions, and assists clients with the drafting and negotiation of industry-specific agreements, including manufacturing and supply, distribution, research and development, technology transfer, and clinical trial agreements, as well as new entity formation and corporate restructuring.
