Randy Miller represents clients in complex business disputes involving the buying and selling of assets and other business transactions and transitions. He handles a broad spectrum of disputes, with a frequent focus on M&A litigation (particularly earn-outs, indemnifications, and dispute resolution); complex contract and commercial trade disputes (including commercial contracts and business torts); and investment management, governance, and corporate control issues (such as corporate, fiduciary, and disclosure issues).
Randy often handles disputes spanning multiple jurisdictions and legal issues. Over his 25 years of trial experience, he has helped clients with a broad range of disputes and forums, ranging from multi-billion, extended trials to single claim emergency injunction hearings. He regularly appears before arbitration panels, state courts, and federal courts.
Randy also brings business and management experience to assist clients with strategic and practical solutions. He previously served as the Managing Partner of an AmLaw 200 firm and a member of the Global Board of Directors for an AmLaw 100 firm. Randy has substantial industry experience assisting clients in the food, agriculture, and regenerative agriculture space, as well as the hospitality and travel industry. He regularly advises organizations on strategic decisions at the intersection of law and business.
