New MD&A Disclosure -- Off-Balance Sheet Arrangements and Contractual Obligations

The Sarbanes-Oxley Act of 2002 (the "Act") and the implementing rules will require disclosure by an issuer of the purposes of off balance sheet transactions and asset securities. Pursuant to Section 401(a) of the Act, the Securities and Exchange Commission (SEC) issued rules on January 27, 2003 to be effective as of April 7, 2003, including amendments to Item 303 of Regulation S-K and Regulation S-B, 17 CFR §§ 228.303 and 229.303, Form 20-F, 17 CFR § 220f and Form 40-F, 17 CFR § 240f.
