Breach of the "Stand Still Obligation" Under European Merger Control Law Poses Extensive Risks to M&A

German investment magazine Platow published this article by Associate Jens Steger, in which Jens discussed the European Commission’s recent decision in the multimillion merger case of Marine Harvest. The Commission punished the company with a € 20 million fine for “jumping the gun” after the merging parties misinterpreted an exemption in the EC Merger Regulation for takeovers involving companies listed on an European stock exchange.
