Strategic Litigation Counsel: We are known for developing innovative solutions, including negotiating the historic settlement of all federal and state environmental claims for Deepwater Horizon. Our work includes environmental enforcement actions, high-profile toxic tort class actions, oil and gas royalty valuation issues, breach of contract and trade secret disputes, EPC disputes, and novel cases involving climate change and public nuisance issues.

Cutting-Edge Transactions: Our robust M&A and A&D practice focuses on assisting upstream and mid-stream companies, and service companies, in their transactions. We have represented numerous public oil & gas companies in public and private debt and equity offerings, and counseled both private equity funds and their portfolio companies in structuring, building and exiting their investments. Our work also includes obtaining antitrust merger clearances, negotiating and obtaining environmental permits and approvals for complex development projects, managing product supply chain issues, and coordinating environmental due diligence in real estate and M&A transactions.

Experience Highlights

  • BP as primary environmental counsel since 2010 for matters related to the Deepwater Horizon oil spill. We have been core members of BP's virtual legal team; acted as lead counsel to the incident investigation team; managed the economic claims process; defended BP in citizen action lawsuits; led the company's Natural Resource Damages (NRD) defense; participated as trial counsel in the Clean Water Act penalty phase; participated in the defense of federal government and foreign state actions; and acted as lead counsel on claims related to federal debarment.
  • BP and ARCO as lead counsel for numerous cases originating on the West Coast involving the gasoline additive MTBE; and as co-national coordinating counsel in ongoing national MDL proceedings involving MTBE.
  • BP, as lead worldwide antitrust counsel, in securing FTC clearance for the $5.6 billion sale of its entire business in Alaska, including all of its upstream and midstream businesses in the state, to Hilcorp, the largest private operator in Alaska.
  • Caerus Oil & Gas in several transactions, including a follow-on equity financing transaction involving Anschutz, Oaktree and Old Ironsides.
  • Castle Harlan Inc. in its definitive agreement to acquire Exterran Corporation's production equipment manufacturing assets.
  • Oil and gas company in completing comprehensive evaluations of the climate in selected US jurisdictions for carbon capture, utilization and sequestration (CCUS) projects.
  • Publicly traded oil and gas exploration company as lead trial counsel in a Fair Labor Standards Act collective action involving the classification of drilling consultants on location at well sites.
  • Tracker Resources in equity investments by funds associated with Encap and Ziff, and in its ultimate sale for $1 billion to Hess.
  • Resolute Energy Corporation, an independent oil and gas company, in several acquisition, divestiture and equity transactions, including its $1.6 billion merger with Cimarex Energy Co.
  • The Halifax Group in its sale of its equity interests in Taylor Companies LLC, an oil distribution, logistics and trading company, to Gibson Energy ULC, a leading midstream oil and gas company headquartered in Calgary, Canada.
